Who We Are
Padmavathi and Vijayesh Associates (PVA) LLP is a Bengaluru-based firm of Company Secretaries and Lawyers delivering end-to-end corporate governance, compliance, and transaction advisory to technology startups, listed corporates, family offices, PE-backed entities, and foreign subsidiaries operating in India.
Founded by Padmavathi Kavoor (FCS, LLB) and Vijayesh Rajendran (FCS, LLB) — with decades of senior roles spanning IPO execution, SEBI compliance, FEMA advisory, and Board Governance.
PVA operates as a trusted advisor: building long-term relationships based on deep regulatory knowledge, executing discipline and absolute confidentiality.

As a senior member of the profession with over three decades of experience, Padmavathi focuses on management consulting and general business management, along with practice areas including corporate laws — providing comprehensive compliance services, corporate governance, and strategic guidance to clients, preparing them well to explore public issues and legal due diligence for M&A activities within the shortest possible timeframe.
She handles drafting agreements along with other legal documentation and services under company law, the Foreign Exchange Management Act (FEMA), and state legislatures, and appears before regulatory authorities, including compliance activities for overseas jurisdictions such as Singapore, Hong Kong, and the Middle East.
Corporate governance, board functioning and strategic guidance, business set-up and management services, audits, and corporate restructuring are some of her other areas of expertise.
She is on the panel of trainers of the Bangalore Chapter of ICSI for training aspiring members, and is a regular speaker at various professional forums and study circles.
Vijayesh Rajendran
Partner
Vijayesh primarily focuses on capital raising through equity and debt instruments, managing IPOs and DRHP processes, audits and adherence to SEBI regulations, Foreign Exchange regulations, contract management, and labour law matters.
He also handles due diligence for fund-raising activities, corporate governance policies and strategies, board management and engagement, execution and monitoring of compliance mechanisms for entities, deal cycles from preparation through execution and conclusion of transactional documents, mergers and acquisitions, and appearances before various regulatory agencies.
Until recently, he was part of the Maini Group as Head – Legal & CS. In his earlier consulting roles, he independently handled diligence and audits, including audits of companies of large conglomerates.
Duraiswamy Srinivasan
Senior Consultant
Srinivasan primarily focuses on matters pertaining to IPO, RHP, and DRHP filings; liaison with BRLMs, both local and global; legal counsels, both local and international; rating agencies; deal structuring; fund raise; strategic planning; board governance and diversity; ESG planning and execution; ESG and sustainability services emphasizing environmental, social, and governance considerations; and bespoke solutions for industry-specific matters.
He has more than four decades of experience in the legal, secretarial, and HR domains, and was previously associated with Caterpillar Power India Private Limited, TVS Electronics Limited, Shriram Properties Group, Nitesh Group, and Reed Relays and Electronics India Limited.
Sravanthi S
Principal Associate
Sravanthi is an integral part of the firm, heading our internal control and systems processes. She was part of Prozone Advisors Private Limited for a decade before joining our team, where she headed our Private Client and Family Office/Fund Office practice area, handling a variety of assignments including private equity/debt transactions.
With her rich prior experience, she now acts as an anchor for the firm, creating internal control systems, processes, and flowcharts for its smooth functioning, in addition to handling clients on a day-to-day basis.
Sravanthi holds a B.Tech in Computer Science and is a member of ICSI.
Suhas Bhat
Principal Associate
Suhas has been in the consulting field throughout his career, spanning over a decade. He handles a mix of clients — public and private, listed and unlisted — including complex transactions, with complete skill. He heads the firm's quality function, ensuring compliance before any document leaves the firm, and acts as a guardian for the firm, training interns and juniors in day-to-day functions.
Suhas is a member of ICSI.
Thejeshwini N
Principal Associate
Her responsibilities and expertise include corporate secretarial and legal compliance across listed and unlisted companies, including LLPs, and overseeing adherence to compliance primarily governed by corporate law, due diligence, and more. Her previous assignments included managing a diverse portfolio of clients — from establishing companies/LLPs to ongoing compliance, event-based compliance, and closure of business, along with drafting agreements. In a previous role at a listed entity, she was involved in creating the compliance calendar capturing all applicable statutes for a manufacturing entity.
She is a member of ICSI and a law graduate from KSLU, Hubli.
Varsha Pathak
Principal Associate
Varsha is a corporate legal professional with comprehensive experience in corporate laws, including the Companies Act, the Foreign Exchange Management Act, and compliance functions. Her past experience includes consulting roles overseeing clientele such as MNCs, managing foreign remittances, and handling FDI compounding and CSR requirements. She brings deep technical expertise to the corporate governance landscape.
She is a member of ICSI.
Bharathi S
Associate
Bharathi has experience in corporate secretarial matters and compliance with listing regulations (including SEBI, LODR, PIT, SAST, and others), and handles matters including secretarial audits and other audits. She was previously associated with Computer Age Management Services Limited (CAMS) as part of the Corporate Legal Team.
She is a member of ICSI.
Subramanya Bhat
Senior Associate
A Chartered Accountant with experience in audit, assurance, transaction advisory, taxation, and regulatory compliance across manufacturing, technology, financial services, consumer products, and service industries. He has handled statutory audits of large corporates, group companies, NBFCs, family trusts, and bank branches, while also advising on financial due diligence, share valuation, and corporate restructuring transactions. His experience includes representing clients in income-tax and GST matters, managing tax compliance, and providing advisory services to corporates, high-net-worth individuals, and multinational executives.
In addition to assurance and tax advisory, he assists businesses with financial reporting, corporate compliance, payroll and labour law compliance, business registrations, and regulatory filings. He has worked closely with management teams and CFOs to strengthen internal controls, streamline financial processes, and ensure compliance with statutory and regulatory requirements. His approach combines technical expertise with practical, business-oriented solutions, enabling clients to navigate complex regulatory environments with confidence.
